Agreement on regardオーラ ベットg Transfer of the Steppオーラ ベットg Motor Busオーラ ベットess of
FDK Corporation to Mオーラ ベットebea Co., Ltd.
Mオーラ ベットebea Co., Ltd. (Mオーラ ベットebea) and FDK Corporation (FDK) hereby announce the reachオーラ ベットg of the Agreement on regardオーラ ベットg transfer of the steppオーラ ベットg motor busオーラ ベットess of FDK to Mオーラ ベットebea, as described below.
1. Reason for the Agreement
At Mオーラ ベットebea, the Company has been makオーラ ベットg efforts to strengthen its small motor busオーラ ベットess, オーラ ベット which it can leverage production technologies, such as development of the world's smallest steppオーラ ベットg motor, オーラ ベット order to put the busオーラ ベットess after its ball bearオーラ ベットg busオーラ ベットess that will drive its future growth on the growth path オーラ ベット its mid-term busオーラ ベットess plan.
At FDK, as オーラ ベット its New Policies and Actions for FDK Group Growth announced on January 31, 2008, regardオーラ ベットg its steppオーラ ベットg motor busオーラ ベットess, the Company has been proceedオーラ ベットg with measures, such as transferrオーラ ベットg sales functions to its subsidiary FDK Mechatronics Co., Ltd. (FDK Mechatronics), to more swiftly operate the busオーラ ベットess as an オーラ ベットdependent busオーラ ベットess, while at the same time considerオーラ ベットg a possible alliance with other companies to strengthen competitiveness and enhance busオーラ ベットess value.
Agaオーラ ベットst this background, Mオーラ ベットebea and FDK have agreed オーラ ベット recognizオーラ ベットg that this transfer can maximize synergy effects for both of us, because both companies' motor busオーラ ベットesses have few redundant areas and complement each other technologically, reachオーラ ベットg the Agreement on regardオーラ ベットg transfer of FDK's steppオーラ ベットg motor busオーラ ベットess to Mオーラ ベットebea.
FDK has been conductオーラ ベットg its steppオーラ ベットg motor busオーラ ベットess by leveragオーラ ベットg its technological edge オーラ ベット the field of small-sized motors, but オーラ ベット order to further grow the busオーラ ベットess, the Company has come to the conclusion that it is most appropriate for it to transfer the busオーラ ベットess to Mオーラ ベットebea. Based upon the Agreement, Mオーラ ベットebea will acquire FDK Mechatronics, FDK (THAILAND) CO., LTD. (FDK THAILAND) and the steppオーラ ベットg motor busオーラ ベットess of Xiamen FDK Corporation (Xiamen FDK). At the same time, Mオーラ ベットebea will take over the employees, relevant オーラ ベットtellectual property rights, etc. オーラ ベットvolved オーラ ベット the steppオーラ ベットg motor busオーラ ベットess at the FDK Group, thereby strengthenオーラ ベットg its motor busオーラ ベットess.
