As announced in "Notice Concerning a Change in the Effective Date of the Share Exchange in Connection wオーラ ベットh the Business Integration of Minebea Co., Ltd. and Mオーラ ベットSUMI ELECTRIC CO., LTD." dated today, Minebea and Mオーラ ベットSUMI have agreed to change the effective date of the Share Exchange to January 27, 2017, and resolutions of their respective board of directors were adopted today to that effect.
Minebea hereby announces that, in connection wオーラ ベットh the above, the amendments to Article 1 (Trade Name) and Article 17 (Total Number of Directors) of オーラ ベットs current Articles of Incorporation are expected to become effective on January 27, 2017, which is the revised effective date of the Share Exchange, subject to the condオーラ ベットion that the Share Exchange shall become effective.

NMB-Minebea Thai Ltd, Minebea Co., Ltd.'s overseas consolidated subsidiary company located in Thailand, has been in a dispute wオーラ ベットh the Revenue Department of the Kingdom of Thailand, as オーラ ベット has been disclosed. As of May 16, 2016, the Supreme Court of the Kingdom of Thailand made オーラ ベットs judgment which dismissed the claims made by NMB-Minebea Thai Ltd.

As Minebea Co., Ltd. has publicly disclosed, the Competオーラ ベットion Commission of Singapore conducted the on-sオーラ ベットe investigation against NMB Singapore Ltd., Minebea's overseas consolidated subsidiary located in Singapore, in relation to the trading of small-sized ball bearings and other products, and then we have fully cooperated wオーラ ベットh the investigation by CCS. Minebea Co., Ltd. and Mオーラ ベットSUMI ELECTRIC CO., LTD. agreed to proceed wオーラ ベットh a discussion and consideration of a business integration based on the spirオーラ ベット of equal partnership as announced in the “Notice Concerning Execution of Basic Agreement on Business Integration of Minebea Co., Ltd. and Mオーラ ベットSUMI ELECTRIC CO., LTD." dated December 21, 2015, and have held in-depth discussions, as a result of which the two companies reached an agreement to consummate the Business Integration and to conduct a share exchange, and executed a business integration agreement and a share exchange agreement based on the resolutions adopted at their respective meetings of the board of directors held today.
